Terms of Service

Effective Date: April 17, 2026

These Terms of Service ("Terms") form a binding agreement between you and Kairui Bi ("we," "us," or "our") regarding your access to and use of GenPromptly.

GenPromptly is a product and brand operated by Kairui Bi and is not a separate legal entity.

If you do not agree to these Terms, do not use GenPromptly.

1. The Service

GenPromptly is a web-based AI-assisted prompt optimization service. It is designed to help users rewrite or restructure prompts so they are clearer, more specific, and more usable.

GenPromptly may use third-party technology and infrastructure, including the OpenAI API, payment processors, authentication systems, hosting providers, and data infrastructure providers.

2. Eligibility

You may use GenPromptly only if:

• you can form a legally binding agreement;
• you are at least the age of majority in your jurisdiction, or otherwise have the capacity to agree to these Terms;
• you are not prohibited from using the service under applicable law.

3. Account Registration and Security

To use certain features, you may need to create an account. You agree to:

• provide accurate and complete information;
• keep your login credentials confidential;
• be responsible for activity under your account;
• notify us promptly of unauthorized use or suspected compromise.

We may suspend or terminate accounts that are inaccurate, abusive, fraudulent, or used in violation of these Terms.

4. Acceptable Use

You agree not to use GenPromptly:

• for unlawful, infringing, fraudulent, deceptive, or abusive purposes;
• to submit content you do not have the right to submit;
• to submit highly sensitive, regulated, or confidential information in a manner that violates law, contract, or duty;
• to interfere with, disrupt, probe, reverse engineer, scrape, or overload the service;
• to bypass usage limits, plan restrictions, or technical protections;
• to use the service to generate or facilitate harmful, illegal, or rights-violating conduct.

We may monitor usage, enforce limits, and investigate suspected abuse.

5. User Content

You may submit prompts, text, instructions, and other content to GenPromptly ("User Content").

You represent and warrant that:

• you have all rights, permissions, and authority necessary to submit the User Content;
• your User Content does not violate law, contract, privacy rights, intellectual property rights, or other rights of any person or entity.

You retain your rights in your User Content. However, you grant us a non-exclusive, worldwide, limited license to host, store, transmit, process, and use your User Content as reasonably necessary to operate, maintain, secure, improve, and provide GenPromptly.

6. AI Processing and Outputs

GenPromptly may send your User Content, in whole or in part, to third-party AI providers, including OpenAI, to generate outputs.

You acknowledge and agree that:

• AI-generated outputs may be incomplete, inaccurate, generic, biased, or unsuitable;
• outputs may not be unique;
• the service is probabilistic and may produce different results for similar inputs;
• you are solely responsible for reviewing, evaluating, and deciding whether to use any output;
• GenPromptly does not guarantee any specific result, business outcome, factual accuracy, or fitness for a particular purpose.

By purchasing or using the service, you acknowledge these limitations and uncertainties.

7. Plans, Pricing, and Usage Limits

Some features may be offered on a free plan, and some may require payment.

Current pricing, feature access, and usage limits are shown on the pricing page, checkout page, or in-product billing interface. We may change pricing, features, or usage limits prospectively.

If you are on a free plan, we may limit usage by number of optimizations, features, time period, or other criteria.

8. Paid Subscriptions

If you purchase a paid subscription:

• you authorize us and our payment processor to charge your selected payment method for the subscription fees, taxes, and any other applicable charges disclosed at checkout;
• unless otherwise stated at checkout, subscriptions automatically renew for recurring billing periods until canceled;
• the timing, frequency, and amount of charges will be based on the plan you selected and any changes you authorize or that are disclosed to you in advance.

You are responsible for keeping your billing information current.

9. No Refunds

Except where required by applicable law, all fees are final and non-refundable.

This means, unless required otherwise by law:

• we do not provide refunds for partial billing periods;
• we do not provide refunds for unused time, unused credits, or unused features;
• we do not provide refunds merely because the service includes AI uncertainty, variability, or outputs you dislike;
• we do not provide refunds for user error, change of mind, or failure to cancel before the next billing date.

We may, in our sole discretion, correct duplicate charges, proven billing errors, or charges made after a valid cancellation that should have been effective.

10. Cancellation

You may cancel your subscription at any time through the billing portal, account settings, or by contacting bia446635@gmail.com, unless a different method is clearly stated in-product.

If you cancel:

• your cancellation will take effect at the end of the current paid billing period, unless applicable law requires otherwise;
• you will generally retain access to paid features until the end of that billing period;
• your subscription will not renew for the next billing period after cancellation is effective.

Deleting your account does not necessarily cancel an active paid subscription unless the cancellation flow specifically confirms cancellation.

11. Communications

By creating an account or purchasing a subscription, you agree that we may send you service-related communications, including:

• account notices;
• billing notices;
• subscription and renewal notices;
• security alerts;
• support messages;
• policy and terms updates.

If you opt in to receive marketing emails, you may unsubscribe using the instructions in those emails. Service-related communications may still be sent where necessary.

12. Intellectual Property

GenPromptly, the website, interface, branding, design, software, and related content are owned by or licensed to Kairui Bi and are protected by applicable intellectual property laws.

These Terms do not transfer any ownership rights to you, except for the limited right to use the service in accordance with these Terms.

You may not copy, distribute, modify, reverse engineer, sell, sublicense, or create derivative works from the service except as expressly permitted by law or by us in writing.

13. Beta Features and Changes

We may add, remove, suspend, or modify features at any time. Some features may be marked beta, experimental, or preview, and may be unavailable, incomplete, or changed without notice.

14. Suspension and Termination

We may suspend or terminate your access, with or without notice, if:

• you violate these Terms;
• your use poses risk to us, the service, other users, or third-party providers;
• required by law or by a service provider;
• there is suspected fraud, abuse, non-payment, or security risk.

You may stop using the service at any time.

Sections that by their nature should survive termination will survive, including payment obligations accrued before termination, intellectual property, disclaimers, limitations of liability, indemnity, and dispute provisions.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENPROMPTLY IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, RELIABILITY, AND RESULTS.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
• OUTPUTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE;
• THE SERVICE WILL MEET YOUR EXPECTATIONS OR BUSINESS NEEDS;
• DEFECTS WILL ALWAYS BE CORRECTED.

16. Limitation of Liability

To the maximum extent permitted by law, Kairui Bi and its service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to GenPromptly or these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• CAD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

17. Indemnity

You agree to defend, indemnify, and hold harmless Kairui Bi, its contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from:

• your User Content;
• your misuse of the service;
• your violation of these Terms;
• your violation of applicable law or the rights of another person or entity.

18. Privacy

Your use of the service is also governed by our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding privacy matters, the Privacy Policy will govern for those matters.

19. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles, except as otherwise required by applicable consumer protection law.

Any dispute arising out of or relating to these Terms or the service shall be brought in the courts located in British Columbia, Canada, unless applicable law requires otherwise.

20. Changes to Terms

We may update these Terms from time to time. If we make material changes, we may post the updated Terms and revise the effective date.

By continuing to use GenPromptly after the updated Terms become effective, you agree to the updated Terms to the extent permitted by law.
